    Terms & Conditions  

                                                                              These terms apply to all SMARTMERCH™ orders and related services provided by SPIN – Smart Products Infrastructure Network, Inc. (“SPIN”).                                                                                                

    01. Shipping Costs                                                              

    Shipping fees are not included in the initial invoice. They will be quoted and invoiced separately based on final shipment volume, weight, and destination.                                                                                              


    02. Defect Claims & Returns                                                                                                
    Any claims regarding defective items must be submitted in writing within 48 hours of goods being received. Claims must include:       
                                                                                             
    - Clear photographic evidence of defect(s)                                                                                                
    - Order number and item reference                                                                                                
    - Description of issue                                                                                                

    Claims made after this window will not be accepted.                                                                                                


    03. Storage & Late Pickup Fees                                                                                                
    Completed goods must be picked up within 5 working days of manufacturing completion.                                                                                       


    04. SPIN OS PRIME Subscription                                                                                                
    All first-time SMARTMERCH™ clients receive a 3-month complimentary subscription to SPIN OS PRIME, enabling full access to dashboards, analytics, content widgets, and UGC features.                                                                                         
    05. RFID SPIN Tags                                                                                                
    One-time inclusion of free SPIN smart tags (RFID) is granted on the first order, including programming and integration services.                                                                                                


    06. Liability for Goods in Transit                                                                                                
    SPIN and SMARTMERCH™ assume no liability once goods are handed over to the designated logistics provider. This includes, but is not limited to, delays, loss, or damage during transit.                                                
                                                    

    07. Taxes, Tariffs & Import Duties                                                                                       
    All applicable customs duties, VAT, import taxes, or related charges are not included in SPIN invoices. The client bears full responsibility for compliance and payment of such expenses.                                                                        


    08. SPIN OS Terms                                                                                                
    Use of SPIN OS (including SPIN OS PRIME) is governed separately by the SPIN Platform Terms & Conditions, which apply to all software, interfaces, and digital services provided through the SPIN ecosystem.                                                                                                


    09. Payment Terms                                                                                                
    All invoices must be paid in full and in one lump sum upon receipt. No partial payments, delays, or installment plans are accepted unless otherwise agreed in writing.                                                                                                   

    10. Sampling                                                                                                
    Each order includes one free 3D sample render. Physical product samples are billed separately and limited to a maximum of three (3) physical units per product variant.                                                                                                


    By placing an order with SMARTMERCH™, you acknowledge and accept these terms in full.
